Vendor Terms & Conditions – Search4Solar
These general terms and conditions (“Terms”) apply to all suppliers (“Vendors”) who offer products via the platform of Search4Solar B.V. (“Search4Solar”). By offering products through the platform, the Vendor agrees to be bound by these Terms.
- General Obligations of the Vendor
1.1. The Vendor is obliged to provide accurate, up-to-date, and complete information in their account and to actively maintain that account.
1.2. Changes in product availability, pricing, specifications, or company information must be promptly updated via the Vendor account.
1.3. Search4Solar reserves the right to suspend or remove Vendor accounts that are consistently inaccurate or incomplete.
- Payment Terms
2.1. Invoices submitted by the Vendor will be paid by Search4Solar within 14 days of the invoice date, unless otherwise agreed in writing.
2.2. Prices must be provided exclusive of VAT or other applicable taxes, unless expressly agreed otherwise. Invoicing must comply with the VAT legislation of the Vendor’s country of establishment and must consider the VAT status of Search4Solar as the buyer (e.g., reverse charge within the EU).
2.3. The Vendor agrees that, under certain conditions, Search4Solar may obtain credit from the Vendor to facilitate fast order processing and customer satisfaction. Any credit terms will be agreed upon separately.
2.4. The Vendor must issue the final invoice no later than one business day after delivery of the products. For solar panels, the corresponding flash list must be included with the invoice.
- Product Quality and Delivery
3.1. The Vendor guarantees that all delivered products:
a) are new,
b) are delivered in original, undamaged packaging,
c) comply with the manufacturer’s official specifications, and
d) include valid European warranty, unless otherwise agreed in writing with Search4Solar.
3.2. If products do not meet the above criteria, the Vendor is fully liable for all direct and indirect damages, costs, and claims from both Search4Solar and its customers related to the products in question.
3.3. The Vendor is responsible for timely and correct delivery in accordance with the agreed specifications.
3.4. Customer requests must be accepted or declined within 24 hours by the Vendor.
3.5. Upon acceptance, the Vendor will ensure the fastest possible delivery. Delivery may take place by:
- customer pickup, or
- transport arranged by the Vendor, depending on customer preference and logistical options.
- Support and Cooperation
4.1. The Vendor actively cooperates with Search4Solar to ensure customer satisfaction, including support with aftersales, returns, warranty handling, and technical inquiries.
4.2. The Vendor is fully responsible for handling the RMA and warranty process directly with the end customer. After the customer has been linked to the Vendor, Search4Solar will no longer be involved in the process.
4.3. Search4Solar reserves the right to use customer feedback and other quality indicators in assessing Vendor performance.
- Liability and Indemnification
5.1. The Vendor indemnifies Search4Solar against all third-party claims arising from the delivery of defective, incorrect, or non-conforming products.
5.2. Any damage, whether direct or indirect, resulting from non-compliance with these Terms is entirely at the Vendor’s expense.
- Applicable Law and Disputes
These Vendor Terms are governed exclusively by Dutch law. Any disputes shall be submitted to the competent court in Amsterdam, the Netherlands.
